These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Kavash Ventures (“Company,” “we,” “us,” or “our”), the owner and operator of the ZimbaSave platform and the website located at https://www.zimbasave.com (the “Site”).

By accessing or using the Site or any services provided under the ZimbaSave brand (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are expressly prohibited from using the Services.

1. Description of Services

ZimbaSave, operated by Kavash Ventures, is a technology platform designed to facilitate flexible savings arrangements specifically directed toward the future acquisition of land and real estate assets. The Services are provided on a Business-to-Business (B2B)basis to licensed real estate companies, developers, and land sellers (“Real Estate Partners”).

The platform provides the technological infrastructure to:

  • Allow end-users (“Savers”) to make periodic contributions toward a designated savings goal for land.
  • Provide Real Estate Partners with a dashboard to track savings progress and manage allocations.
  • Automate notifications and record-keeping related to savings commitments.

Critical Legal Disclaimers:

  1. Kavash Ventures (ZimbaSave) is NOT a Land Seller. We do not own, list, market, sell, transfer title to, or convey any interest in any real property. All land transactions are strictly between the Saver and the independent Real Estate Partner.
  2. Kavash Ventures (ZimbaSave) is NOT a Bank or Financial Institution. We are a technology service provider. Funds held or processed through the platform are custodial in nature and held by a regulated third-party financial institution or trust arrangement, not by Kavash Ventures.
  3. ZimbaSave is NOT a Guarantor of Land Value or Availability. We do not guarantee the availability, pricing, zoning compliance, or suitability of any specific parcel of land offered by a Real Estate Partner.

2. User Eligibility and Account Types

The ZimbaSave platform operates with two distinct user roles. By creating an account, you represent and warrant that you meet the criteria for the applicable role:

A. Real Estate Partners (B2B Users)

  • You are a duly registered and licensed business entity legally authorized to sell land or real estate in the jurisdiction where the land is located.
  • You have provided accurate company information, including tax identification and valid contact details for legal notices.
  • You understand that ZimbaSave is a technology facilitator only and that you retain full legal responsibility for compliance with all local land laws, subdivision regulations, and consumer protection statutes regarding the sale of your property.

B. Savers (End-Users)

  • You are at least eighteen (18) years of age and possess the legal capacity to enter into a binding contract.
  • You understand that utilizing the ZimbaSave platform does not create an immediate ownership interest in any specific parcel of land.
  • You acknowledge that the ultimate purchase and transfer of land title is subject to a separate, legally binding Purchase and Sale Agreement executed directly between you and the Real Estate Partner.

3. Nature of the Savings Arrangement and No Refund Policy

A. Facilitation Only

The ZimbaSave platform provides the technological tools to manage savings goals. The underlying obligation to hold, safeguard, or refund savings contributions is governed by the specific terms of the Savings Agreement established between the Saver and the Real Estate Partner.

B. No Refund Policy

KAVASH VENTURES DOES NOT OFFER REFUNDS FOR ANY SERVICES OR TECHNOLOGY FEES PAID TO ZIMBASAVE. Once a savings contribution or platform usage fee has been processed, it is non-refundable by Kavash Ventures.

  • Platform Fees: Any subscription fees paid by Real Estate Partners for access to the ZimbaSave dashboard are final and non-refundable.
  • Saver Contributions: Any questions regarding the refund or return of saved funds (e.g., cancellation of land purchase) must be directed exclusively to the Real Estate Partner with whom you have a relationship. Kavash Ventures has no authority to release, refund, or withhold funds held on behalf of a Real Estate Partner except as expressly instructed in writing by that Partner.

4. Compliance and Legal Responsibilities

For Real Estate Partners: You agree to use the ZimbaSave platform in strict compliance with all applicable Anti-Money Laundering (AML) and Know Your Customer (KYC) regulations. You are solely responsible for verifying the identity and source of funds for any Saver utilizing your listing on the platform.

For Savers: You agree not to use the ZimbaSave platform for any unlawful purpose, including but not limited to the evasion of taxes or the laundering of money. You are strongly encouraged to conduct independent due diligence, including a title search and physical inspection, prior to entering into any final Purchase and Sale Agreement with a Real Estate Partner.

5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Kavash Ventures, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of land opportunity, loss of savings deposits due to Real Estate Partner default or insolvency, or loss of anticipated profits.

ZimbaSave is a technology interface only. Kavash Ventures expressly disclaims any and all liability arising from:

  • The failure of a Real Estate Partner to deliver clear title to land.
  • The bankruptcy or insolvency of a Real Estate Partner.
  • The failure of a Saver to complete a purchase and the subsequent loss of deposits or saved funds as per the terms of the underlying savings agreement.

Our total aggregate liability to any User (whether Real Estate Partner or Saver) for any claims arising out of or relating to these Terms or the Services shall not exceed the total amount of platform fees paid by that specific User to Kavash Ventures during the six (6) months preceding the event giving rise to the claim.

6. Intellectual Property Rights

The ZimbaSave brand, logo, domain name, software code, and all original content are the exclusive property of Kavash Ventures. These materials are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Site for its intended commercial purpose.

7. Indemnification

You agree to defend, indemnify, and hold harmless Kavash Ventures and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:

  • Real Estate Partners: Any dispute with a Saver regarding land boundaries, title defects, or refund of savings.
  • Savers: Any claim made against a Real Estate Partner for which ZimbaSave is named as a party due solely to our role as a technology provider.

8. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Kavash Ventures is incorporated, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration on an individual basis.

9. Changes to Terms

Kavash Ventures reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will provide notice by updating the “Last Updated” date on this page. Your continued use of the Site after any changes constitutes your acceptance of the new Terms.
